Constituent Company means an existing company that is participating in a merger or consolidation with one or more other existing companies;
Constituent entity means: (i) with respect to an MNE Group having a Reporting Entity resident for tax purposes in the Isle of Man, (A) any separate business unit of an MNE Group that is included in the consolidated financial statements for financial reporting purposes or would be so included if equity interests in such business unit of an MNE Group were traded on a public securities exchange, (B) any separate business unit that is excluded from the MNE Group’s consolidated financial statements solely on size or materiality grounds, and (C) any permanent establishment of any separate business unit of the MNE Group included in (A) or (B) above provided the business unit prepares a separate financial statement for such permanent establishment for financial reporting, regulatory, tax reporting, or internal management control purposes; and (ii) with respect to an MNE Group having a Reporting Entity resident for tax purposes in the United States, any “Constituent Entity” as defined in the relevant U.S. Treasury regulations;
Constituent organization means an organization that is party to a merger.
Constituent Person has the meaning specified in Section 5.6(b).
Constituent corporation means a corporation or a foreign corporation that:
Constituent Holder means any stockholder, collective investment fund included within a Qualifying Fund (as defined in paragraph (E) below) or beneficial holder whose stock ownership is counted for the purposes of qualifying as holding the Proxy Access Request Required Shares (as defined in paragraph (E) below) or qualifying as an Eligible Stockholder (as defined in paragraph (E) below);
Constituent Documents means with respect to any Person, as applicable, such Person’s certificate of incorporation, articles of incorporation, by-laws, certificate of formation, articles of organization, limited liability company agreement, management agreement, operating agreement, shareholder agreement, partnership agreement or similar document or agreement governing such Person’s existence, organization or management or concerning disposition of ownership interests of such Person or voting rights among such Person’s owners.
Memorandum and Articles of Association means the Memorandum and Articles of Association of the Company, as amended and restated from time to time.
Certificate of organization means the certificate required by section 489.201. The term includes the certificate as amended or restated.
Constituent Corporations has the meaning set forth in the second recital of this Agreement.
Articles of Organization means the original documents filed to organize a limited liability company, as amended or restated by certificates of correction, amendment, or merger, by restated articles, or by other instruments filed or issued under any statute.
New Organizational Documents means the documents providing for corporate governance of New Valaris Holdco and the Reorganized Debtors, including charters, bylaws, operating agreements, or other organizational documents or shareholders’ agreements, as applicable, consistent with section 1123(a)(6) of the Bankruptcy Code (as applicable).
Parent Organizational Documents means the certificate of incorporation and bylaws, each as amended as of the date of this Agreement, of each of Parent and Merger Sub.
Articles of Incorporation means the Articles of Incorporation of the Company, as amended from time to time.
Governing Documents means, with respect to any Person, the certificate or articles of incorporation, by-laws, or other organizational documents of such Person.
Memorandum of Association means the memorandum of association of the Company, as amended or substituted from time to time;
Company Bylaws means the bylaws of the Company, as amended.
Member organization means any individual, corporation, limited liability company, partnership, or association that belongs to an association.
Constituent College means a college or institution established and maintained by the University;
Nonprofit organization means an organization that is exempt from federal income taxation pursuant to Section 501(a) of the Code and described in Section 501(c) of the Code and that has as one of its designated activities, as indicated on United States Internal Revenue Service form 1023 "recognition of exemption", an activity that is directly related to the purposes for which grants may be issued under Revised Code Sections 164.20 through 164.27 as described in divisions (A) and (B) of Revised Code Section 164.22
Articles of Association means the articles of association of the Company, as amended from time to time.
Restated Certificate of Incorporation means the Restated Certificate of Incorporation of the Company, as amended.
Parent organization means the entity named in Item I. of the Policy Declarations.
Member Association means any national football association affiliated to FIFA, irrespective of whether its representative team is participating in the Competition.
Constituent means any State resident or other person
Bylaws means the bylaws of the Corporation, as they may be amended from time to time.
