The amount of the Contingent Payments payable to the Company with respect to each such twelve-month period (each, a "Contingent Period") shall be calculated based upon the earnings before interest, taxes and amortization ("EBITA") achieved by the Contingent Payment Business (as hereinafter defined) during such Contingent Period.
