Conversion Settlement Averaging Period definition

Conversion Settlement Averaging Period means, with respect to any conversion of Debentures, the applicable number of consecutive Trading Days commencing with the second Trading Day immediately following the Conversion Date, specified by the applicable Holder in the applicable Conversion Notice, which period shall not be less than one (1) Trading Day nor more than twenty (20) Trading Days, or, if no such period is set forth in such Conversion Notice, the twenty (20) consecutive Trading Day period commencing with the second Trading Day immediately following the Conversion Date
Conversion Settlement Averaging Period means, with respect to any Securities surrendered for conversion, the 40-consecutive-Trading-Day period beginning (x) on the Redemption Date, if prior to the relevant Conversion Date the Company has called for redemption the Securities that are being converted, (y) on the 40th Trading Day immediately preceding the Stated Maturity, if the relevant Conversion Date is on or after the 40th Trading Day immediately preceding the Stated Maturity, and (z) in all other instances, on the Trading Day immediately following the final day of the Conversion Retraction Period.
Conversion Settlement Averaging Period with respect to any Notes to be converted means the 20 consecutive Trading Day period beginning (x) on the Trading Day on or next following the Redemption Date, if prior to the relevant Conversion Date the Company has called the Notes that are being converted for redemption, (y) for Notes that are converted during the period beginning on the 30th Trading Day prior to the Stated Maturity, on the 27th Trading Day immediately preceding the Stated Maturity, and (z) in all other instances, on the Trading Day immediately following the final day of the Conversion Retraction Period.

  • The Company shall deliver the portion of the Settlement Amount that is payable on account of the increase in the Conversion Rate as soon as practicable, but in no event after the third Business Day after the later of: (i) the Conversion Date; (ii) the last Trading Day in the applicable Conversion Settlement Averaging Period; and (iii) the QFC Effective Date.

  • Unless the Company has elected to settle its conversion obligation entirely in shares of Common Stock, this delivery shall generally be made three Business Days after the last day of the Conversion Settlement Averaging Period.

  • Cash Settlement Averaging Period means (a) with respect to any Conversion Date occurring on or after the 24th Scheduled Trading Day immediately preceding the Maturity Date, the twenty (20) consecutive Trading Day period ending on, and including, the third Scheduled Trading Day immediately preceding the Maturity Date and (b) in all other cases, the twenty (20) consecutive Trading Day period beginning on, and including, the third Trading Day immediately following the relevant Conversion Date.

  • Termination Settlement Date means, for any Terminated Obligation, the date customary for settlement, substantially in accordance with the then-current market practice in the principal market for such Terminated Obligation (as determined by the Calculation Agent), of the sale of such Terminated Obligation with the trade date for such sale occurring on the related Termination Trade Date.
