Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.
Retained Employees has the meaning set forth in Section 6.1.1.
Living Wage Employee means any and all employees of the Contractor and all Subcontractors of the Contractor that perform any part of the Work on a property owned by or leased to the City, including all streets, sidewalks and other public rights of way, for at least one consecutive hour, but excluding Students, volunteers and employees of Social Enterprises;
Designated Employees means a person occupying any of the following position in the Company:
Company Employees shall have the meaning set forth in Section 6.10(a).
Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.
Transferred Employees has the meaning set forth in Section 6.4(a).
Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.
Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.
Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.
Key Employees means Xxxxx Xxxxxxx and Xxxxxxx Xxxxxxx.
Business Employees has the meaning set forth in Section 4.10(a).
Hired Employees shall have the meaning set forth in Section 7.5(a).
Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.
Continuing Employees shall have the meaning set forth in Section 6.9(a).
Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.
Current Employees has the meaning set forth in Section 5.6(a).
Eligible Employees means each employee of the Company or an Affiliate.
Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.
Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.
Excluded Employees has the meaning set forth in Section 14.1.
Casual Employees are employed on an "on call" basis to cover absences due to sick leave, vacation, or other approved leaves, or to augment staff during peak periods or periods of staff shortage.
Employees Stock Option” means the option given to the directors, officers or employees of a company or of its holding company or subsidiary company or companies, if any, which gives such directors, officers or employees, the benefit or right to purchase, or to subscribe for, the shares of the company at a future date at a pre-determined price.
Number of Employees enter the total number of Employees in the employment category employed to provide services under the Contract during the report period, including part time Employees and Employees of subcontractors.
Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.
