Corporate Social Responsibility Committee definition

Corporate Social Responsibility Committee means a Committee of the Board constituted under Section 135 of the Act;

Corporate Social Responsibility Committee or “CSR Committee” shall mean a Committee constituted by the Board of Directors as per the provisions of Section 135 of the Companies Act, 2013 read with the Companies (Corporate Social Responsibility) Rules, 2014 consisting of atleast three Directors one of whom shall be an Independent Director.
