  • TMHL shall give written notice of an Amendment to the Correspondent, and the Amendment shall become effective immediately or as specifically provided therein; provided, however, no Amendment of the Correspondent Sellers Guide shall be effective with respect to an outstanding Approval Notification Letter unless consented to by the Correspondent.

  • Notwithstanding anything contained in this Correspondent Sellers Guide to the contrary, Correspondent shall underwrite the Eligible Loans in accordance with Correspondent's guidelines and represents and warrants to TMHL that each Eligible Loan which has been sold to TMHL has been underwritten in accordance with the Correspondent's guidelines, a copy of which have been submitted to TMHL.

  • The failure or omission of TMHL to conduct any partial or complete examination of the Mortgage File shall not affect TMHL's rights to demand repurchase or other relief as provided under this Correspondent Sellers Guide.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Purchaser’s Group means the Purchaser and its Affiliates from time to time;

  • Correspondent means any insurer or other person appointed by one or more insurers with the approval of the Bureau of the country in which the person is established with a view to handling and settling claims arising from accidents involving vehicles for which the insurer or insurers in question have issued an insurance policy and occurring in that country;

  • Buyer’s Group means the Buyer, any subsidiary of the Buyer, any holding company of the Buyer and any subsidiary of any holding company of the Buyer, from time to time.

  • SPS means ADB's Safeguard Policy Statement (2009);

  • Loss Absorbing Instrument means, at any time, any Additional Tier 1 Capital instrument (other than the Notes) issued directly or indirectly by the Issuer which contains provisions pursuant to which all or part of its principal amount may be written-down (whether on a permanent or temporary basis) or may otherwise absorb losses (in each case in accordance with its terms) on the occurrence, or as a result, of a trigger event set by reference to the Group CET1 Ratio;

  • Local Vendor means any business which:

  • Seller Affiliate means any Affiliate of Seller.

  • First-tier subcontract means a subcontract awarded directly by the Contractor for the purpose of acquiring supplies or services (including construction) for performance of a prime contract. It does not include the Contractor’s supplier agreements with vendors, such as long-term arrangements for materials or supplies that would benefit multiple contracts and/or the costs of which are normally applied to a Contractor’s general and administrative expenses or indirect cost.

  • Mortgage Loan Seller Sub-Servicer A Sub-Servicer required to be retained by the Master Servicer by a Mortgage Loan Seller, as listed on Exhibit S to this Agreement, or any successor thereto.

  • Selling Institution The entity obligated to make payments to the Issuer under the terms of a Participation Interest.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Purchaser Affiliate means any affiliate of the Purchaser, including a transferee who is an affiliate of the Purchaser, and any person who controls the Purchaser or any affiliate of the Purchaser within the meaning of Section 15 of the Securities Act or Section 20 of the Exchange Act; and

  • Approved Servicer shall have the meaning assigned to such term in the definition of “Qualified Institutional Lender.”

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Data Supplier means a third party supplier of Market Data.

  • Seller Contract any Contract (a) under which Seller has or may acquire any rights or benefits; (b) under which Seller has or may become subject to any obligation or liability; or (c) by which Seller or any of the assets owned or used by Seller is or may become bound.

  • Responsible bidder or offeror means a person who at the time of Contract Award has the capability to perform the Contract requirements and the integrity and reliability which will assure good faith performance.
