This Creditor Joinder may be executed in two or more counterparts, each of which shall constitute an original but all of which when taken together shall constitute one contract.
This Creditor Joinder, dated as of ____________ [ ˜ ], 201_ (this “Creditor Joinder”), is a Creditor Joinder under the Subordination Agreement and is being executed and delivered by the Additional Subordinated Lender pursuant to the Subordination Agreement.
Each Creditor agrees that it will not assign any of the Obligations unless the assignee agrees to become a party to and be bound by this Sharing Agreement by executing a Creditor Joinder Agreement in the form attached hereto as Exhibit B (the “Creditor Joinder Agreement”), provided that the failure of any Creditor to obtain such acknowledgment shall not affect the effectiveness of the immediately preceding sentence.
As a condition to the effectiveness of any such Transfer, each Joining Creditor Party shall indicate, on the signature page to its Creditor Joinder, the amount of Claims held by such Joining Creditor Party.
Any Existing Creditor or New Creditor that wishes to become a party to this Agreement subsequent to the Effective Date can become a party hereto (an “Additional Creditor”), by executing and delivering an Additional Creditor Joinder in substantially the form of Schedule I attached hereto and shall comply with the provisions hereof applicable to the Creditors.
