Critical Maintenance definition

Critical Maintenance means any maintenance in which MTC is unable to forewarn its customers. Critical Maintenance can occur immediately, during any time of the day and is usually due to factors outside the control of MTC. MTC reserves the right to have the critical maintenance considered as part of the service.

  • Any changes required to the production system will, if applicable, be implemented with respect to the Disaster Recovery System at (a) Itron’s sole cost and expense in the case of a Critical Maintenance Release or a Mandatory Maintenance Release, and (b) DLC’s sole cost and expense in the case of an Optional Maintenance Release or a Custom Maintenance Release.

  • If any Critical Maintenance Release or Mandatory Maintenance Release prevents or materially impairs DLC’s meter reads during the “operations process clock” as specified in Schedule A (the “Operations Process Clock”), Itron shall, at its expense, provide DLC with all necessary software and hardware upgrades or modifications to permit DLC to conduct such meter reads during the Operations Process Clock.

Critical Maintenance is defined as maintenance that is necessary to address critical production issues or issues causing a critical part of the infrastructure to be unavailable or inaccessible, resulting in critical disruption of work or critical business impact, including, without limitation, issues caused by natural disasters, network security intrusions, acts of terrorism, or emergency maintenance performed by Licensor’s service providers, in addition to issues requiring maintenance to ensure safety of Licensor employees.
