Cumulative Excess Cash Flow Amount definition

Cumulative Excess Cash Flow Amount means, at any date, an amount, not less than zero in the aggregate, determined on a cumulative basis equal to the sum, for each Excess Cash Flow Period, (x) Excess Cash Flow for such Excess Cash Flow Period minus (y) the Applicable ECF Percentage of Excess Cash Flow for such Excess Cash Flow Period.
Cumulative Excess Cash Flow Amount means, as at any date of determination, an amount determined on a cumulative basis, equal to the positive amount of any Excess Cash Flow for each fiscal year of Holdings commencing with the fiscal year ending December 31, 2019 (provided that for the fiscal year ending December 31, 2019, Cumulative Excess Cash Flow Amount shall be limited to the amount of Excess Cash Flow generated from the Closing Date through December 31, 2019).
Cumulative Excess Cash Flow Amount means, at any date, an amount, determined on a cumulative basis equal to the aggregate cumulative sum of 50% of Excess Cash Flow for each Fiscal Year (but not less than zero with respect to any Fiscal Year) ending after the Effective Date and prior to such date.

Cumulative Excess Cash Flow Amount means, at any date, the sum of an amount, not less than zero in the aggregate, determined on a cumulative basis equal to (1) the aggregate cumulative sum of the Applicable Percentage of Excess Cash Flow for each Excess Cash Flow Period ending after the Closing Date and prior to such date for which financial statements have been delivered pursuant to Section 5.04(a), plus (2) an amount equal to Excess Cash Flow for the period commencing on July 1, 2013 and ending December 31, 2013, plus (3) an amount equal to the Applicable Percentage of Excess Cash Flow for the Excess Cash Flow Interim Period last ended prior to such date and after the latest Excess Cash Flow Period (or, if the first Excess Cash Flow Period after the Closing Date has not occurred, for the Excess Cash Flow Interim Period last ended prior to such date and after the Closing Date), for which financial statements have been delivered pursuant to Section 5.04(b), minus (3) the cumulative amount of all Excess Cash Flow Overages as of such date.
Cumulative Excess Cash Flow Amount means the aggregate amount of Excess Cash Flow for each full fiscal quarter after the date hereof at the end of which the Leverage Ratio did not exceed 1.75:1.

Cumulative Excess Cash Flow Amount means, on any date of determination, an amount equal to the difference between (i) the sum of Excess Cash Flow for all Excess Cash Flow Periods ended prior to such date of determination that was not required to be applied to prepay the Loans pursuant to Section 2.10(f) (whether or not prepayments are accepted by Lenders) (provided that in the case of any Excess Cash Flow Period in respect of which the amount of Excess Cash Flow shall have been calculated as contemplated by Section 5.01(c) but the prepayment required pursuant to Section 2.10(f) is not yet due and payable in accordance with the provisions of Section 2.10(f) as of the date of determination, then the amount of prepayments that will be so required to be made in respect of such Excess Cash Flow shall be deemed to be made for purposes of this clause (i)), minus (ii) the sum of (x) to the extent such amounts were deducted from Excess Cash Flow in determining the amount of Excess Cash Flow required to be applied to prepay the Loans pursuant to Section 2.10(f) for any Excess Cash Flow Periods ended prior to such date of determination, the aggregate amount of any voluntary prepayments of Term Loans and any permanent voluntary reductions to the Revolving Commitments to the extent that an equal amount of the Revolving Loans was simultaneously repaid during the relevant Excess Cash Flow Periods, (y) the aggregate amount of payments, prepayments on or redemptions or acquisitions for value of, Indebtedness, made from and after the Closing Date under clause (z) of Section 6.11(a) and (z) the aggregate amount of purchases in excess of $5.0 million made from and after the Closing Date under Section 6.08(d).

  • Cumulative Excess Cash Flow means the amount equal to the sum of Excess Cash Flow (but not less than zero for any Fiscal Year) for the Fiscal Year ending on December 31, 2022 and Excess Cash Flow (but not less than zero in any Fiscal Year) for each succeeding and completed Fiscal Year.

  • Retained Excess Cash Flow Amount means, at any date of determination, an amount, determined on a cumulative basis, that is equal to the aggregate cumulative sum of the Excess Cash Flow that is not required to be applied as a mandatory prepayment under Section 2.11(b)(i) for all Excess Cash Flow Periods ending after the Closing Date and prior to such date; provided that such amount shall not be less than zero for any Excess Cash Flow Period.

  • Consolidated Excess Cash Flow means, for any period, an amount (if positive) equal to: (a) the sum, without duplication, of the amounts for such period of (i) Consolidated Net Income, plus, (ii) to the extent reducing Consolidated Net Income, the sum, without duplication, of amounts for non-cash charges reducing Consolidated Net Income, including for depreciation and amortization (excluding any such non-cash charge to the extent that it represents an accrual or reserve for a potential cash charge in any future period or amortization of a prepaid cash charge that was paid in a prior period), plus (iii) the Consolidated Working Capital Adjustment, minus (b) the sum, without duplication, of (i) the amounts for such period paid in cash by Holdings and its Subsidiaries from operating cash flow (and not already reducing Consolidated Net Income) of (1) scheduled repayments (but not optional or mandatory prepayments) of Indebtedness for borrowed money of Holdings and its Subsidiaries (excluding scheduled repayments of Revolving Credit Loans or Swing Line Loans (or other loans which by their terms may be re-borrowed if prepaid) except to the extent the Revolving Credit Commitments (or commitments in respect of such other revolving loans) are permanently reduced in connection with such repayments) and scheduled repayments of obligations of Holdings and its Subsidiaries under Capital Leases (excluding any interest expense portion thereof), (2) Capital Expenditures, (3) payments of the type described in clause (g) of the definition of Consolidated EBITDA and (4) consideration in respect of Permitted Acquisitions plus (ii) other non-cash gains increasing Consolidated Net Income for such period (excluding any such non-cash gain to the extent it represents the reversal of an accrual or reserve for a potential cash gain in any prior period).

  • Excess Cash shall have the meaning set forth in Section 2.7.2(b)(vii) hereof.

  • Cumulative Interest Expense means, in respect of any Restricted Payment, the sum of the aggregate amount of Consolidated Interest Expense of the Issuer and the Restricted Subsidiaries for the period from and after January 1, 2005 to the end of the Issuer’s most recently ended fiscal quarter for which internal financial statements are available and immediately preceding the proposed Restricted Payment.

  • Cumulative EBITDA means, as of any date of determination, EBITDA of the Company from the Existing Notes Issue Date to the end of the Company’s most recently ended full fiscal quarter prior to such date, taken as a single accounting period.

  • Net Loss Amount means the sum of Cumulative Loss Amounts under this Single Family Shared-Loss Agreement and Aggregate Net Charge-Offs under the Commercial Shared-Loss Agreement.
