In consideration for Evolution and Liberty Harbor agreeing to the amendments contemplated under the Third Amendment Deeds, the Company has entered into a fee arrangement letter dated 22 September 2009 (“Arrangement Fee Letter”) with Liberty Harbor and Evolution whereby the Company agrees to pay HK$2,500,000 to Liberty Harbor and HK$1,000,000 to Evolution as a fee for their assistance in arranging refinancing of the Current Notes.
