The "Daily Sales Price" shall be the closing price for bona fide transactions of the Common Stock at the end of each day or, if no such transaction takes place that day, the average of the closing bid and asked prices for such day.
For the purposes of this Agreement, "Daily Sales Price" means for any trading day, the arithmetic average (unrounded) of the closing bid and asked prices of WCB stock in the over-the-counter market as such prices are reported by the automated quotation system of the National Association of Securities Dealers, Inc., or in the absence of this source, by any other source that WCB and VB mutually agree on.
