Damages Amount definition

Damages Amount means the Original Series A Issue Price for each share of Series A Preferred Stock subject to conversion plus all accrued and unpaid interest thereon as of the first day of the Conversion Failure;
Damages Amount means an amount calculated in accordance with the formula A/B
Damages Amount has the meaning ascribed thereto in section 8.4(b).

Examples of Damages Amount in a sentence

  • If the Buyer elects to be paid the Standard Liquidated Damages Amount in shares of Common Stock, such shares shall be issued at the Conversion Price at the time of payment.

  • If the Company fails to provide such list within five (5) business days of the end of each month, the Company shall pay the Standard Liquidated Damages Amount, in cash or in shares of Common Stock at the option of the Buyer, until the list is delivered.

More Definitions of Damages Amount

Damages Amount means the Original Series I Issue Price for each share of Series I Preferred Stock subject to conversion plus all accrued and unpaid Premium thereon as of the first day of the Conversion Failure, plus all damage payments previously owed and unpaid.
Damages Amount means the Original Class C Issue Price for each share of Class C Preferred Stock subject to Conversion Failure plus all accrued and unpaid Premium thereon as of the first day of the Conversion Failure, plus all damage payments previously owed and unpaid.
Damages Amount means the amount of the Debenture subject to conversion plus all accrued and unpaid interest thereon as of the first day of the Conversion Failure.
