Initial appointment means appointment made otherwise than by promotion or transfer;
Excluded Appointments means those Appointments designated from time to time as "Excluded Appointments" by agreement of the parties.
Regularly appointed employee means an individual with an exempt, probationary or regular appointment to a position of City employment.
Provisional appointment means the employment of a person to a vacant position for no more than a six-month period for emergency or in interim conditions. The General Manager may extend a provisional appointment for up to an additional six-month period.
Succeeded Appointment means any Appointment for which a Succession Time has occurred.
New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.
Restricted Appointment means (a) any Appointment for which the applicable Authorizations have not been obtained, and (b) any Appointment for which the maturity date of the applicable Corporate Trust Contract is on or before June 30, 2022.
Negotiating Committee means a three-member group comprised by representatives of the following: (1) the State; and (2) two representatives of Local Governments of which one representative will be from a Municipality and one shall be from a County (collectively, “Members”) within the State. The State shall be represented by the Attorney General or her designee.
Independent Directors means the members of the Board of Directors who are not officers or employees of the Manager or any Person directly or indirectly controlling or controlled by the Manager, and who are otherwise “independent” in accordance with the NYSE’s corporate governance listing standards (or the rules of any other national securities exchange on which the Common Stock is listed).
Investigating Committee means any Officer/Committee appointed by Competent Authority to conduct investigation.
Program Director means an individual who has complete responsibility for the day to day function of the program. The Program Director is the highest level of decision making at a local, program level.
Nominating Committee means the nominating committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.
Vice-Chairperson means the Vice-Chairperson of the Board.
Board Members means the Directors or Trustees of the governing body of the Fund, as the case may be.
Probationary appointment means an appointment which is without continuing appointment status and which is neither a soft money nor non-renewable fixed length appointment. Probationary appointees may be removed subject to the provisions of this Article; Article 7,
Appointee means the person named by you and registered with us in accordance with the Nomination Schedule, who is authorized to receive the Death Benefit under this Policy on the death of the Life Assured while the Nominee is a minor;
Continuing Directors means, as of any date of determination, any member of the Board of Directors who (i) was a member of such Board of Directors on the date of the Agreement or (ii) was nominated for election or elected to such Board of Directors with the approval of a majority of the Continuing Directors who were members of such Board of Directors at the time of such nomination or election.
Deputy Chairperson means the deputy chairperson from time to time of the Trust if one is appointed in accordance of rule 4 of the Third Schedule;
Candidate Committee means a committee established by a candidate pursuant to N.J.S.A. 19:44A-9(a), for the purpose of receiving contributions and making expenditures.
Court appointed special advocate means a volunteer guardian ad litem appointed by the court who is responsible for: researching the background of assigned child abuse, neglect and dependency cases; representing the child's best interests; speaking for the child in all hearings, reviews and other relevant case activities; monitoring the child during the life of the case; and advocating for a safe and permanent home for the child.
shadow director means, in relation to a company, any person in accordance with whose directions or instructions the directors of the company are accustomed to act, but the person is not deemed to be a shadow director by reason only that the directors act on advice given by him in a professional capacity; and
the appointed day means the day on which section 30A of the Safeguarding Vulnerable Groups Act 2006 comes into force;
Director Emeritus means a person serving as a director emeritus, advisory director, consulting director, or other similar position as may be appointed by the Board of Directors of the Savings Bank or the Company from time to time.
Lead Director means, at any given time, the lead, independent member (if any) elected as such by the Board and occupying such position.
Parent Directors means the Directors elected or appointed pursuant to Articles 53 – 56 inclusive;
