Debentureholder Participation definition

Debentureholder Participation means the total Nominal Amount of all outstanding Debentures less any amount of the Debentureholder Participation which has been repaid to the Debentureholders pursuant to Clause 10.2(b) and 11.1.

Examples of Debentureholder Participation in a sentence

  • Any repayment of the Debentureholder Participation shall be a repayment of the Participation Loan Amount.

  • The contribution by the Original Shareholders shall be made available to the Issuer no later than when the Debentureholder Participation is made available to the Issuer.

  • If the unutilised part of the Total Participation on the Final Lending Date exceeds ten (10) per cent of the total Total Participation, such excess amount shall be used to repay pro rata the Debentureholder Participation and the Shareholder Participation unless the Original Shareholders and the Debentureholders agree otherwise.

  • Quorum only exists if Debentureholders representing at least 50 per cent of the Debentureholder Participation attend the meeting in person or by telephone conference (or appear through duly authorised representatives).

  • When the requisite majority consents of the total Debentureholder Participation pursuant to Clauses 16.4 and 16.5 have been received in a Written Procedure, the relevant decision shall be deemed to be adopted pursuant to Clause 16.4 or 16.5, as the case may be, even if the time period for replies in the Written Procedure has not yet expired.

  • When the requisite majority consents of the total Debentureholder Participation pursuant to Clauses16.4 and 16.5 have been received in a Written Procedure, the relevant decision shall be deemed to be adopted pursuant to Clause 16.4 or 16.5, as the case may be, even if the time period for replies in the Written Procedure has not yet expired.

  • Any other matter which requires the Debentureholders’ consent, shall require the consent of Debentureholders representing at least 50 per cent of the Debentureholder Participation.

  • Any matter not covered by Clause 16.4 or16.5 shall require the consent of Debentureholders representing more than 50 per cent of the Debentureholder Participation for which Debentureholders are voting at a Debentureholders’ Meeting or for which Debentureholders reply in a Written Procedure in accordance with the instructions given pursuant to Clause 18.2.

  • Debentureholder holder of Debentures," "registered holder," or other similar term, means the Person or Persons in whose name or names a particular Debenture shall be registered on the books of the Company or the Trustee kept for that purpose in accordance with the terms of this Indenture.

  • Debentureholders or “holders” means the Persons for the time being entered in the register for Debentures as registered holders of Debentures or any transferees of such Persons by endorsement or delivery;

  • Unit Participation means the ratio of the surface acreage of a specific tract in the unit area to the total surface acreage of the unit area as that total surface acreage is specified in paragraph one of the Plan for Unit Operations of this order.

  • Holders means the holder or holders, as the case may be, from time to time of Registrable Securities.

  • Participation Advance shall have the meaning set forth in Section 2.12(d).

  • Participation Fee means the amount payable by the Participant to the Council for the right to participate in the Hong Kong Pavilion at the Exhibition, as specified in Section I of the Application Form.

  • Securityholder means the Person in whose name a Security is registered on the Registrar's books.
