Debt Offering definition

Debt Offering means the incurrence by the Borrower of Indebtedness whether or not occurring in connection with the issuance or sale of notes, bonds, debentures or other debt securities; provided that the incurrence of any Indebtedness borrowed under this Agreement or expressly permitted by Section 7.01 hereof will not constitute a Debt Offering for purposes of this Agreement.
Debt Offering means the issuance and sale by any member of the Consolidated Group of any debt securities of such member, excluding debt securities issued to and retained by another member of the Consolidated Group.
Debt Offering means the issuance and sale by the Borrower or any Guarantor of any debt securities of the Borrower or such Guarantor.
