Debt to Consolidated Cash Flow Ratio means the ratio of all Indebtedness of the Company and its Restricted Subsidiaries to Consolidated Cash Flow.

Debt to Consolidated Cash Flow Ratio means, as of any date of determination (the "Calculation Date"), the ratio of (a) the Consolidated Indebtedness of the Company as of such date to (b) the Consolidated Cash Flow of the Company for the four most recent full fiscal quarters ending immediately prior to the Calculation Date for which internal financial statements are available, in each case determined on a pro forma basis after giving effect to all acquisitions or dispositions of assets made by the Company and its Subsidiaries from the beginning of such four-quarter period through and including the Calculation Date as if such acquisitions and dispositions had occurred at the beginning of such four-quarter period. For purposes of making the computation referred to above, (i) acquisitions that have been made by the Company or any of its Restricted Subsidiaries, including through mergers or consolidations, during the reference period or subsequent to such reference period and on or prior to the Calculation Date shall be deemed to have occurred on the first day of the reference period and Consolidated Cash Flow for such reference period shall be calculated without giving effect to clause (ii) of the proviso set forth in definition of Consolidated Net Income, and (ii) the Consolidated Cash Flow attributable to discontinued operations, as determined in accordance with GAAP, and operations or businesses disposed of prior to the Calculation Date, shall be excluded.

Debt to Consolidated Cash Flow Ratio means with respect to any Person as of any date of determination (the "Debt Ratio Calculation Date"), the ratio of (i) the aggregate amount of Indebtedness of such Person and its Subsidiaries, on a consolidated basis, outstanding 13 as of the Debt Ratio Calculation Date to (ii) the Consolidated Cash Flow of such Person for the Reference Period immediately preceding such Debt Ratio Calculation Date.
