Deemed Conversion Shares definition

Deemed Conversion Shares means, with respect to each Share, with respect to any date, the number of shares of Conversion Stock (including fractional shares) equal to the quotient of (i) the Accrued Value of such Share as of and including such date plus, without duplication, dividends accrued but not yet compounded as of and through such date divided by (ii) the Conversion Price in effect as of such date.
Deemed Conversion Shares means, with respect to each Share, with respect to any date, the number of shares of Conversion Stock equal to the quotient of (i) the Accrued Value of such Share (plus, without duplication, any accrued dividends not already included in such Accrued Value) as of and including such date and (ii) the Conversion Price in effect as of such date.

Examples of Deemed Conversion Shares in a sentence

  • If a Put Notice with respect to any Share is not timely delivered to the Company in accordance with Section 6(a), on the Settlement Date such Share will automatically be converted, without the Corporation or the holders having taken any action, into a number of shares of Conversion Stock equal to the number of Deemed Conversion Shares on the Settlement Date.

  • Each Share may be converted on any date, from time to time, at the option of the holder thereof into a number of shares of Conversion Stock equal to the Deemed Conversion Shares.

  • Conversion Share means any share of Common Stock issued or issuable upon conversion of any Note.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Series A Preferred Shares means the Series A Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Pre-Funded Warrant Shares means the shares of Common Stock issuable upon exercise of the Pre-Funded Warrants.

  • New Conversion Price means the amount determined in accordance with the following formula, which shall apply from the QTE Effective Date: NCP = ECP * (VWAPAES / VWAPOS) where:

  • Initial Conversion Price has the meaning specified in Section 13.01.

  • Series A Conversion Price shall initially be equal to $0.71. Such initial Series A Conversion Price, and the rate at which shares of Series A Preferred Stock may be converted into shares of Common Stock, shall be subject to adjustment as provided below.
