Delayed Business Employees definition

Delayed Business Employees has the meaning given in Schedule 7 (Employees);
Delayed Business Employees means, in respect of GlaxoSmithKline, the GlaxoSmithKline Delayed Business Employees and, in respect of Novartis, the Novartis Delayed Business Employees;
Delayed Business Employees means (i) the Relevant Vaccines Business Employees who immediately prior to the Closing Date work in any of the Delayed Vaccines Group Businesses, and (ii) any employees of any member of the Seller’s Group who are appointed to their position (whether by internal or external hire) on or after the Closing Date in accordance with a Controlled Business Instruction or Seller Involvement Instruction to work wholly or substantially in the Business (as carried on by the Vaccines Group) (other than the Delayed Company Employees), and in each case for so long as they are not assigned to work other than wholly or substantially in the Business (as carried on by the Vaccines Group);

Examples of Delayed Business Employees in a sentence

  • Each Business Employee or Retired Business Employee so participating in the Seller Pension Plan prior to the Closing Date shall thereupon become a participant in the Buyer Pension Plan; except that Delayed Business Employees shall cease participation in the Seller Pension Plan and commence participation in the Buyer Pension Plan on an Applicable Transfer Date.

  • Buyer shall also after the Closing Date offer employment to any Shared Service Employee not listed on Schedule 1(a) but whom Seller and Buyer mutually agree after the Closing Date shall be treated as a Business Employee ("Delayed Business Employees") and such person(s) shall, except as expressly provided herein, be treated as Business Employees for all purposes hereunder.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Transferred Business has the meaning ascribed to such term in the Separation Agreement.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Excluded Employees shall have the meaning set forth in Section 5.1.2.

  • Union Employees has the meaning set forth in Section 6.12(a).

  • Seller Employee Plan means any plan, program, policy, practice, Contract or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written, unwritten or otherwise, funded or unfunded, including each “employee benefit plan,” within the meaning of Section 3(3) of ERISA (whether or not ERISA is applicable to such plan), that is or has been maintained, contributed to, or required to be contributed to, by the Seller or any Seller Affiliate for the benefit of any Seller Employee, or with respect to which the Seller or any Seller Affiliate has or may have any liability or obligation, except such definition shall not include any Seller Employee Agreement.

  • Company Employee Plans has the meaning set forth in Section 3.12(a).

  • Relevant Employees means the employees of the Contractor (including the Transferring Employees) who are wholly or mainly assigned to work in the provision of the Services and who are/will be the subject of a Relevant Transfer by virtue of the application of the TUPE Regulations.

  • Retained Business means any business now, previously or hereafter conducted by Seller or any of its Subsidiaries or Affiliates other than the Business.

  • Group Business Entity means;

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • SpinCo Business has the meaning set forth in the Separation and Distribution Agreement.

  • Company Employee means any current or former employee, independent contractor or director of the Company or any Company Affiliate.

  • Transferred Entities means the entities set forth on Schedule 1.9.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.
