Delivery Term Commencement Date. The later of: (i) the day on which Seller’s Facility achieves commercial operation; and (ii) the day on which all Conditions Precedent are achieved or satisfied. Emergency - Any abnormal condition on the Company’s System that requires automatic or immediate manual action to prevent or limit loss of transmission or distribution facilities or generation supply which loss could adversely affect the reliability of the Company’s System or the systems to which the Company’s System is directly or indirectly connected, or any circumstance under which the MPSC would allow the curtailment of As Available generation.
