Designated Offering definition

Designated Offeringย means an Equity Offering.

Designated Offeringย means a firmly underwritten public offering registered under the Securities Act, where the gross proceeds to the Corporation from such offering, after deducting underwriters discounts, are not less than $25,000,000, and at a per share price (determined on a common stock equivalent basis) of at least $16.50 (or such lower price, down to $11.50, to which the holders of a majority of the outstanding shares of Series J Preferred Stock may consent in writing) as adjusted for stock splits, stock dividends, stock combinations or stock reclassifications.
