SRTA and GDOT hereby covenant and agree to cooperate, one with the other, in connection with SRTA’s exercise of its right to cancel or terminate the Project Agreement pursuant to the provisions set forth therein or to otherwise cancel the Project having regard to, in each case, the rights of the Lenders pursuant to the Lenders' Direct Agreement.
TxDOT shall have no obligations or liabilities in connection with any Refinancing except for the rights, benefits and protections set forth in the Lenders’ Direct Agreement (but only if the Refinancing satisfies the conditions and limitations set forth in Section 2.1 of the Lenders’ Direct Agreement).
