The Company shall be entitled, after the Novo Discussion Period and during the Novo Third Party Transaction Period, to discuss and negotiate the terms of any such arrangement with any third party(ies).
After the end of the Discussion Period, if the Company and Xxx Xxxxx have not reached an agreement, the Company shall be free to enter into such arrangement with any third party, provided that for a period of six months following the expiration of the Discussion Period (the “Third Party Transaction Period”), the Company may not enter into any such transaction with a third party without first offering the terms of such transaction to Xxx Xxxxx and Company.
After the expiration of Xxx Xxxxx and Company’s Discussion Period, the Company shall promptly notify Novo Nordisk A/S and any representative of Novo Nordisk A/S serving on the Board of Directors of completion of the Xxx Xxxxx and Company Discussion Period and intent to enter into any particular form of such an arrangement with Novo Nordisk A/S (the “Novo Negotiation Notice”).
