Disease Fields definition

Disease Fields means, from time to time, all Exclusive Disease Fields, Time-Limited Exclusive Disease Fields and Non-Exclusive Disease Fields, each being a “Disease Field”. For the avoidance of doubt, a Excluded Time-Limited Exclusive Disease Field shall not be considered a Disease Field hereunder.
Disease Fields means (i) with respect to a Drug for which a license is granted to Xxxxxxx under Section 2.1.3(a) or 2.1.3(c) and which is covered by a Valid Claim of Xxxxxxx Patent Rights owned by Xxxxxxx, any and all disease indications (unless such Xxxxxxx Patent Rights are limited to the use of the Drug for specific disease indications, in which case the Disease Fields shall be limited to the disease indications included within the scope of such Xxxxxxx Patent Rights) or (ii) with respect to a Drug for which a license is granted to Xxxxxxx under Section 2.1.3(a) and which is covered by a Valid Claim of Xxxxxxx Patent Rights licensed to Xxxxxxx, any and all disease indications included in the field of the license to Xxxxxxx. The existence of the license granted to Xxxxxxx under this Section 2.1.3 will be noted in the ISOGENOMICS(TM) Database without revealing the identity of Xxxxxxx, unless authorized by Xxxxxxx. In the event similar license(s) are granted by Genaissance to another HAP2000(TM) Member, the existence of such licenses will be noted in the Isogenomics(TM) Database without revealing the identity of such other HAP2000(TM) Member, unless authorized by such HAP2000(TM) Member.

Examples of Disease Fields in a sentence

  • Prior to the commencement of any GLP toxicity study for the first Licensed Product by Genocea, its Affiliates or a Sublicensee in each of the Non-Exclusive Disease Fields, Genocea shall pay to Isconova an upfront, non-creditable, non-refundable fee of [* * *].

  • For clarity, Genocea may not exchange these Exclusive Disease Fields unless otherwise mutually agreed to by the Parties in writing.

  • Until the earlier of: (a) twenty-four (24) months following the Effective Date and (b) the date on which five (5) Exchange Field Candidates have been accepted as Non-Exclusive Option Fields (and therefore, Non-Exclusive Disease Fields) by Isconova pursuant to Section 2.2.3. Genocea shall have the right to replace the Disease underlying one or more of the Non-Exclusive Option Fields for another Disease subject to compliance with the procedure in Section 2.2.3 of this Agreement.

  • Exclusive Fields Until twenty-four (24) months after the Effective Date, Genocea shall have the right, at any time, to appoint up to five (5) Non- Exclusive Disease Fields (each such additional field as they may be exchanged pursuant to the terms hereof, an “Non-Exclusive Option Field” and collectively, the “Non-Exclusive Option Fields”) subject to compliance with the procedure in Section 2.1.3(a) of this Agreement.

  • Until the earlier of: (a) twenty-four (24) months following the Effective Date and (b) the date on which three (3) Exchange Field Candidates have been accepted as Time-Limited Exclusive Fields (and therefore, Time-Limited Exclusive Disease Fields) by Isconova pursuant to Section 2.2.3, Genocea shall have the right to replace the Disease underlying one or more of the Time-Limited Exclusive Fields with another Disease subject to compliance with the procedure in Section 2.2.3 of this Agreement.

  • The Consultant agrees, at the request of the Company, to notify any Third Party (i) for which the Consultant is then providing services and (ii) that, to the Consultant’s knowledge, is then engaging in activities relating to the Specified Orphan Disease Fields of the Consultant’s confidentiality obligations pursuant to Section 6.2 hereof.

  • Until twelve (12) months after the Effective Date, Genocea shall have the right, at any time, to appoint up to three (3) Time- Limited Exclusive Disease Fields (each such additional field as they may be exchanged pursuant to the terms hereof, an “Time-Limited Exclusive Option Field” and collectively, the “Time-Limited Exclusive Option Fields”) subject to compliance with the procedure in Section 2.1.2(a) of this Agreement.

Related to Disease Fields

  • Licensed Field means [***].

  • Disease means an alteration in the state of the body or of some of its organs, interrupting or disturbing the performance of the functions, and causing or threatening pain and weakness or physical or mental disorder and certified by a Medical Practitioner.

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Biological product means a virus, therapeutic serum, toxin, antitoxin, vaccine, blood, blood component or derivative, allergenic product, protein other than a chemically synthesized polypeptide, or analogous product, or arsphenamine or any derivative of arsphenamine or any other trivalent organic arsenic compound, applicable to the prevention, treatment, or cure of a disease or condition of human beings.

  • Licensed Compounds means: (a) Research Program Active Compounds; (b) Novartis Active Compounds; (c) salts, hydrates, solvates, esters, metabolites, intermediates, stereoisomers and polymorphs of Research Program Active Compounds or Novartis Active Compounds; and (d) prodrugs of Research Program Active Compounds or Novartis Active Compounds (any of the foregoing, a “Licensed Compound”).

  • Therapeutic school means a residential group living facility:

  • Exclusive Field means the diagnosis, treatment or prevention of any cancer in humans through the use of Engineered T-Cells, which shall exclude the diagnosis, treatment or prevention of medullary cystic kidney disease 1 regardless of whether such disease is characterized as a cancer.

  • X-ray field means that area of the intersection of the useful beam and any one of the set of planes parallel to and including the plane of the image receptor, whose perimeter is the locus of points at which the exposure rate is one-fourth of the maximum in the intersection.

  • Diagnosis means the definition of the nature of the Client's disorder. When formulating the Diagnosis of Client, CONTRACTOR shall use the diagnostic codes and axes as specified in the most current edition of the DSM published by the American Psychiatric Association. DSM diagnoses will be recorded on all IRIS documents, as appropriate.

  • Waterborne disease outbreak means the significant occurrence of an acute infectious illness, epidemiologically associated with the ingestion of water from a public water system which is deficient in treatment, as determined by the Division.

  • Corrosion inhibitor means a substance capable of reducing the corrosivity of water toward metal plumbing materials, especially lead and copper, by forming a protective film on the interior surface of those materials.

  • Gene Therapy means the introduction of a nucleic acid sequence encoding a protein intended for or otherwise conferring therapeutic benefit into a person for therapeutic purposes (i) by in vivo introduction for incorporation into cells of such person, or (ii) by ex vivo introduction into cells for transfer into a person.

  • COVID-19 Pandemic means the epidemic, pandemic or disease outbreak associated with COVID-19.
