Distribution Subcontractor definition

Distribution Subcontractor means any Third Party subcontractor that (a) performs storage, warehousing or shipping, or coordination of any of the foregoing or (b) performs any of the Distribution Activities, in each case ((a) and (b)), with respect to the Combination Product on behalf of a Selling Party (or its Affiliates) under this Agreement.
Distribution Subcontractor means any Third Party subcontractor that performs storage, warehousing, shipping or other distribution activities on behalf of a Selling Party (or its Affiliates) (acting in such capacity) under the Agreement; provided that such Distribution Subcontractor does not take title to such Combination Product. For the avoidance of doubt, neither a Contract Manufacturer nor a Third Party Distributor shall be deemed to be a Distribution Subcontractor and a Distribution Subcontractor shall not be deemed to be a Contract Manufacturer or a Third Party Distributor.

  • The Selling Party shall, or shall cause an Affiliate of the Selling Party or a Distribution Subcontractor to, accept and process Territory Combination Product returns in accordance with the Selling Party’s return policy for the Selling Party Products.

  • Prior to distributing any quantity of Territory Combination Product, the Selling Party shall, or shall cause an Affiliate of the Selling Party or a Distribution Subcontractor to, ensure that it has the proper certificate of analysis and other appropriate documentation with respect to such Combination Product as required by Applicable Law, including GMP.

  • The Selling Party shall, and shall use its reasonable efforts to cause any Distribution Subcontractor to, cooperate fully in any such inspection conducted pursuant to this Section 9(a).

Related to Distribution Subcontractor

  • Sub-subcontractor means a Person engaged by a Subcontractor to perform a portion of the Trade Contractor Work. The term “Sub-Subcontractor” also includes any lower tier Persons engaged by Sub-Subcontractor to perform a portion of the Trade Contractor Work.

  • Lower tier subcontractor means any party entering into an agreement with the SUBCONTRACTOR or any Lower Tier SUBCONTRACTOR for the furnishing of supplies or services required for performance of this Subcontract.

  • Subcontractor means any supplier, distributor, vendor, or firm that furnishes supplies or services to or for a prime contractor or another subcontractor.

  • Sub-Contractor means the person named in the Contract for any part of the works or any person to whom any part of the contract has been sublet by the contractor with the consent in writing of the Engineer-in-charge and will include the legal representatives, successors and permitted assigns of such persons.

  • Supplier/Contractor means the individual, firm or company with whom the contract has been concluded for supplying the Goods and Services under the Contract.
