Distribution Activities definition

Distribution Activities means any activities that are not deemed “service activities.” “Service activities” shall mean activities in connection with the provision of personal, continuing services to shareholder accounts in the Shares; provided, however, that if the National Association of Securities Dealers, Inc. (“NASD”) adopts a definition ofservice feefor purposes of Section 2830(b)(9) of the NASD Conduct Rules or any successor provision that differs from the definition of “service activities” hereunder, or if the NASD adopts a related interpretive position intended to define the same concept, the definition of “service activities” in this paragraph shall be automatically amended, without further action of the parties, to conform to the then effective NASD definition. Overhead and other expenses related to “distribution activities” or “service activities,” including telephone and other communications expenses, may be included in the information regarding amounts expended for these activities.
Distribution Activities shall have the meaning set forth in Section 6.8(d).
Distribution Activities means any activities in connection with the Distributor's performance of its services under this Amended Plan and Agreement and the Distribution Agreement that are not deemed "service activities." "Service activities" shall mean activities covered by the definition of "service fee" contained in Section 26(b) of the National Association of Securities Dealers, Inc.'s Rules of Fair Practice, as amended.

  • In no event shall the rate paid for Distribution Activities exceed 0.75% and the rate paid for Shareholder Services exceed 0.25% per annum.

  • The amount of fees payable by each Fund pursuant to this Section 2 may be greater or lesser than the expenses actually incurred by such Fund or by the Distributor or other financial intermediary on behalf of such Fund in connection with the performance of Distribution Activities and Shareholder Services.
