Therefore, notwithstanding anything to the contrary set forth in this Agreement, Operator represents, warrants and covenants that after all fees, costs, expenses and other payments, Owner shall receive a distribution from Operator of no less than [One Dollar ($1.00) OR GREATER AS BID] each fiscal year as a result of Golf Course operations (the “Guaranteed Annual Distribution”). Such Annual Distribution shall be remitted to Owner in four equal installments no later than the end of each calendar quarter and fully paid by December 31 of the subsequent fiscal year. Operator shall bear all risk of loss to the extent revenues are insufficient or excess expenses yield a net income insufficient to cover the Annual Distribution. For the avoidance of doubt, in addition to the Annual Distribution Operator shall promptly pay, transfer, and remit such additional consideration proposed in response to this RFP in such amounts, forms, and quantities as is set forth in its proposal.
