Dividend Note definition

Dividend Note means that certain Dividend Note, dated November 20, 1996, in the original principal amount of $1,600,000,000, issued by MidCon to the Seller.

Dividend Note means the 10% junior subordinated promissory notes between Holdings, and (i) Eos Capital Partners III, L.P. and (ii) Eos Partners SBIC III, L.P. in the approximate principal amounts of $10,049,929 and $2,885,795, respectively, subject to adjustment in connection with the IPO Transaction.

Dividend Note shall have the meaning assigned to such term in the first recital hereto.
