Deferred Stock definition

Deferred Stock means a right to receive a specified number of shares of Stock during specified time periods pursuant to Article 8.
Deferred Stock means an award made pursuant to Section 8 below of the right to receive Stock at the end of a specified deferral period.
Deferred Stock means Stock to be received, under an award made pursuant to Section 9, below, at the end of a specified deferral period.

  • An Award of Deferred Stock may be subject to such substantial risk of forfeiture conditions as the Committee may impose, which conditions may lapse at such times or upon the achievement of such objectives as the Committee shall determine at the time of grant or thereafter.

  • A Grantee awarded Deferred Stock or Restricted Stock Units will have no voting rights with respect to such Deferred Stock or Restricted Stock Units prior to the delivery of Shares in settlement of such Deferred Stock and/or Restricted Stock Units.

  • Deferred Stock must conform in form and substance with applicable regulations promulgated under Section 409A of the Code and with Article 16 to ensure that the Grantee is not subjected to tax penalties under Section 409A of the Code with respect to such Deferred Stock.
