The parties hereto acknowledge and agree that the DMC Common Stock Consideration was calculated by dividing (i) Fifteen Million Nine Hundred Forty- Seven Thousand Nine Hundred Sixty-Four Dollars ($15,947,964), by (ii) the average of the daily last reported closing price of DMC Common Stock for the twenty (20) trading days from and including June 27, 2008 to and including July 25, 2008.
