Dominion Account definition

Dominion Account means a special account established by the Borrower or any Guarantor at Bank of America or another bank acceptable to the Administrative Agent, over which the Administrative Agent has exclusive control for withdrawal purposes.
Dominion Account shall have the meaning assigned to such term in Section 5.11(b).
Dominion Account a separate special account established by each Borrower at Bank of America (or, as regards Canadian Borrowers, Bank of America-Canada Branch) or another bank reasonably acceptable to Agent, over which, during any Dominion Trigger Period, Agent has exclusive control for withdrawal purposes.

  • Subject to Section 7.02, upon delivery of a written notice to the Lead Borrower from the Administrative Agent that specifies that “cash dominion” is being instituted, the ledger balance in the Dominion Account as of the end of a Business Day shall be applied to reduce any outstanding Revolver Loans at the beginning of the next Business Day during any Liquidity Period.

Dominion Account has the meaning set forth in Section 2.10(c) hereof.
