Dragged Shareholders definition

Dragged Shareholders has the meaning set forth in Section 5.4.

Examples of Dragged Shareholders in a sentence

• If the sale under the Drag-Along Right has not been consummated within 12 (twelve) months following delivery of the Drag-Along Notice, all Dragged Shareholders shall be released from the obligation under the Drag-Along Right.

• The Dragged Shareholders shall execute and perform all such documents and acts as required by the applicable law in order to effectively transfer the Dragged Shares to the Proposed Dragged Purchaser, in particular shall execute a share sale agreement.

• The Dragged Shareholders shall not be required to transfer the Dragged Shares prior to the date on which the Shares of the Dragging Shareholders are transferred to the Proposed Dragged Purchaser.
