Dragging Parties definition

Dragging Parties shall have the meaning set forth in Section 2.4(a).
Dragging Parties has the meaning ascribed to such term in Section 2(b)(i).
Dragging Parties means, collectively, (a) Supermajority Preferred Holders (which shall include the Majority Series E Holders) and (b) the Majority Ordinary Holders.

Examples of Dragging Parties in a sentence

  • Upon such failure, the Dragging Parties shall have and are hereby irrevocably granted a proxy to vote or provide a written consent with respect to each such Breaching Drag-Along Stockholder’s Company Common Stock for the purposes of taking the actions required by this Section 2.4(c) (such Dragging Parties, a “Drag-Along Proxy Holder”).

  • For the avoidance of doubt, the terms and conditions of the proposed Drag-Along Transaction must be the same for the Dragging Parties and the Dragged Holder, including the identical form and amount of consideration for the shares of Common Stock, but excluding any Consulting Fees payable pursuant to the Consulting Agreement, which payments shall be subject to Section 7(c).

  • If the transfer referred to in the Drag-Along Notice is not consummated within 60 days from the date of the Drag-Along Notice, the Dragging Parties must deliver another Drag-Along Notice in order to exercise rights under this Section with respect to such transfer or any other transfer.

  • The Dragging Parties will give written notice (the "Drag-Along Notice") to the Purchaser of any proposed sale giving rise to the rights of the Dragging Parties set forth in Section 3.1(c) as soon as practicable following the acceptance of the offer referred to in Section 3.1(c).

  • If the sale referred to in the Drag-Along Notice is not consummated within 90 days from the date of the Drag-Along Notice, the Dragging Parties must deliver another Drag-Along Notice in order to exercise their rights under this Section 3.1(c) with respect to such sale or any other sale.

  • The Dragging Parties will notify the other Stockholders at least 15 business days in advance of the closing of the sale of shares to the Third Party.

  • Selling Stockholders means Purchaser and any other purchaser of Units in the Offering, and their respective successors and assigns.

  • Investor Parties has the meaning set forth in the Preamble.

  • Other Selling Stockholders means persons other than Holders who, by virtue of agreements with the Company, are entitled to include their Other Shares in certain registrations hereunder.

  • Selling Parties shall have the meaning specified in the preamble.

  • Existing Stockholders means the stockholders of the Corporation immediately prior to the IPO as listed on Schedule A (including the Existing Stockholders Representative in its capacity as an Existing Stockholder) together with any Permitted Assignees.

  • Holders’ Representative means the representative of the Holders named in the preamble, until a successor Holders’ Representative shall have become such pursuant to the applicable provisions of this Agreement, and thereafter “Holders’ Representative” shall mean such successor Holders’ Representative.

  • PIPE Investors means those certain investors participating in the PIPE Investment pursuant to the Subscription Agreements.

  • Transferring Stockholder has the meaning assigned to such term in Section 3.4(a).

  • Selling Shareholders has the meaning given to such term in the Preamble to this Agreement;

  • Purchaser Parties means, collectively, the Purchasers and any of their respective former, current or future directors, officers, employees, agents, general or limited partners, managers, members, stockholders, Affiliates or assignees or any former, current or future director, officer, employee, agent, general or limited partner, manager, member, stockholder, Affiliate or assignee of any of the foregoing.

  • Stockholder Group means the Stockholder and each Person (other than any member of the Company Group) that is an Affiliate of the Stockholder.

  • Selling Party has the meaning set forth in the definition of “Net Sales.”

  • Selling Partner has the meaning set forth in Section 8.5.

  • Shareholders’ Representative has the meaning set forth in the Preamble.

  • Investor means the Buyer, any transferee or assignee thereof to whom a Buyer assigns its rights under this Agreement in accordance with Section 9 and who agrees to become bound by the provisions of this Agreement, and any transferee or assignee thereof to whom a transferee or assignee assigns its rights under this Agreement in accordance with Section 9 and who agrees to become bound by the provisions of this Agreement.

  • Buyer Parties has the meaning set forth in the Preamble.

  • Other Shareholders means persons who, by virtue of agreements with the Company other than this Agreement, are entitled to include their securities in certain registrations hereunder.

  • Stockholder Representative has the meaning set forth in the preamble.

  • Selling Stockholder means any Stockholder owning Registrable Shares included in a Registration Statement.

  • Anchor Investor means a Qualified Institutional Buyer applying under the Anchor Investor Portion in accordance with the requirements specified in the SEBI ICDR Regulations and the RHP and who has Bid for an amount of at least ₹ 100 million and the term “Anchor Investors” shall be construed accordingly.
