Eatox Xxxxx Xxxagement definition

Eatox Xxxxx Xxxagement a Massachusetts business trust ("Eatox Xxxxx" xx the "Investment Adviser"), will act as the Trust's investment adviser pursuant to an Investment Advisory Agreement by and between the Trust and the Investment Adviser, dated as of December 21, 1998 (the "Investment Advisory Agreement"). The Trust has engaged Eatox Xxxxx xx act as its administrator pursuant to an Administration Agreement, dated as of December 21, 1998. Investors Bank & Trust Company ("IBT") will act as the custodian (the "Custodian") of the Trust's cash and portfolio assets pursuant to a Custody Agreement, effective as of December 21, 1998 (the "Custody Agreement"). First Data Investor Services Group will act as the Trust's transfer agent and dividend disbursing agent (the "Transfer Agent") pursuant to a transfer agency agreement, dated as of December 21, 1998 (the "Transfer Agency Agreement"). Banker's Trust Corporation will act as the Trust's auction agent (the "Auction Agent") pursuant to an Auction Agency Agreement, dated as of March 4, 1999 (the "Auction 2 Agency Agreement"). The Trust has entered into a Letter Agreement, dated as of March 4, 1999 with the Depository Trust Company (the "DTC Agreement").
