With respect to any EBITDA Certificate, if the Holder does not deliver an EBITDA Objection Notice within the applicable EBITDA Review Period, such EBITDA Certificate shall be final and binding.
Upon receipt by the Holder of any EBITDA Certificate, the Holder may, within five (5) Business Days after the date of receiving such EBITDA Certificate (the "EBITDA Review Period"), deliver to the Corporation an objection notice setting forth the Holder's objections to the EBIDTA calculations set forth in such EBITDA Certificate together with a summary of the reasons for such objections (each such notice delivered by the Holder, an "EBITDA Objection Notice").
If Sellers do not deliver a Notice of EBITDA Dispute to Buyer within the EBITDA Review Period, Sellers shall be deemed to have accepted the Preliminary EBITDA Statement in its entirety.
During the EBITDA Review Period, Seller and its accountants and representatives shall have the right to inspect Buyer’s books and records during normal business hours at Buyer’s offices, upon reasonable prior notice and solely for purposes reasonably related to determinations of the Six-Month Anniversary EBITDA.
Prior to the expiration of the EBITDA Review Period, Seller may object to the Six-Month Anniversary EBITDA set forth in the EBITDA Calculation Statement by delivering a written notice of objection (an “EBITDA Calculation Objection Notice”) to Buyer which shall specify the items in the EBITDA Calculation Statement disputed by Seller and shall describe in reasonable detail the basis for such objection, as well as the amount in dispute.
In the event that Sellers deliver an EBITDA Statement of Objections during the EBITDA Review Period, Buyer and Sellers shall use all reasonable efforts to resolve the dispute within thirty (30) days following the receipt by Buyer of the EBITDA Statement of Objections.
If Seller fails to deliver an EBITDA Calculation Objection Notice to Buyer prior to the expiration of the EBITDA Review Period, then the Six-Month Anniversary EBITDA set forth in the EBITDA Calculation Statement shall be final and binding on the parties hereto.
During the EBITDA Review Period, SEE shall promptly provide Buyer with any reasonable documentation and other information requested in connection with Buyer’s review of the Preliminary Audited EBITDA.
Any individual, public or private corporation, partnership, association, municipality or political subdivision of this Commonwealth, institution, authority, firm, trust, estate, receiver, guardian, personal representative, successor, joint venture, joint stock company, fiduciary; department, agency or instrumentality of state, federal or local government, or an agent or employee thereof; or any other legal entity.
If Equityholder Representative disagrees with the amounts set forth in the EBITDA Notice, Equityholder Representative shall deliver to Parent a written notice of disagreement (the “EBITDA Dispute Notice”) prior to the expiration of the EBITDA Review Period setting forth in reasonable detail the amount, nature and the basis for such disputed items, including a revised calculation of the 2019 EBITDA Amount.
