  • The Company shall, and each Warrantors shall procure the Company to, use (or cause to be used) the proceeds from the Transaction (a) to fund the acquisition by ECMOHO Hong Kong of the outstanding shares of ECMOHO Shanghai pursuant to the Equity Transfer Agreement, and (b) for the business development, working capital and general corporate purposes of the Group.

  • GI can be used to address many of the issues noted in the previous section.

  • As soon as practicable after the Initial Closing, each Warrantor shall use its reasonable best efforts to, procure (i) the ECMOHO Hong Kong, either directly or indirectly, acquire all equity interests held by Ningbo Yuanyuanliuchang Investment Center (Limited Partnership) (宁波源远流长投资中心 (有限合伙)), Suzhou Dadehongqiang Investment Center (Limited Partnership) (苏州大得宏强投资中心 (有限合伙)) and Beijing Tianruidiliang Investment Co., Ltd.

  • The Chargor irrevocably appoints ECMOHO (Hong Kong) Limited, registration no.

  • In June 2018, ECMOHO Limited was incorporated under the laws of the Cayman Islands, and ECMOHO (Hong Kong) Health Technology Limited, or ECMOHO Hong Kong, was incorporated under the laws of Hong Kong and wholly owned by ECMOHO Limited.

  • In July 2018, ECMOHO Hong Kong acquired 97.5% of the equity interest of ECMOHO Shanghai from our co- founders and certain other shareholders of ECMOHO Shanghai.

  • In June 2019, ECMOHO Hong Kong, through an onshore subsidiary, entered into an agreement to acquire the remaining 2.5% of the equity interest of ECMOHO Shanghai from its minority shareholders.

  • LHSIA means the Local Health System Integration Act, 2006, and the regulations made under it, as it and they may be amended from time to time;

  • Motorway means a road specially designed and built for motor traffic, which does not serve properties bordering on it, and which:

  • Islands (“Ynysoedd”) means the Channel Islands and the Isle of Man;

  • Asia means Afghanistan, Australia, Bangladesh, Bhutan, Brunei, Cambodia, China, Hong Kong, India, Indonesia, Japan, Kazakhstan, Kyrgyzstan, Laos, Macau, Malaysia, Maldives, Mongolia, Myanmar, Nepal, New Zealand, North Korea, Pakistan, the Philippines, Singapore, South Korea, Sri Lanka, Taiwan, Tajikistan, Thailand, Timor-Leste, Turkmenistan, Uzbekistan, and Vietnam.

  • Mainland China means the People’s Republic of China (excluding Hong Kong, Macau and Taiwan).

  • India means the territory of India and includes the territorial sea and airspace above it, as well as any other maritime zone in which India has sovereign rights, other rights and jurisdiction, according to the Indian law and in accordance with international law, including the U.N. Convention on the Law of the Sea;

  • AT&T OKLAHOMA means the AT&T owned ILEC doing business in Oklahoma.

  • Malta means the Island of Malta, the Island of Gozo and the other islands of the Maltese Archipelago, including the territorial waters thereof;

  • HKSAR means the Hong Kong Special Administrative Region of the People's Republic of China.

  • Korea means the Republic of Korea.

  • AT&T KANSAS means the AT&T owned ILEC doing business in Kansas.

  • Air freshener means any consumer product including, but not limited to, sprays, wicks, powders, and crystals, designed for the purpose of masking odors or freshening, cleaning, scenting, or deodorizing the air. Air fresheners do not include products that are used on the human body, products that function primarily as cleaning products, disinfectant products claiming to deodorize by killing germs on surfaces, or institutional or industrial disinfectants when offered for sale solely through institutional and industrial channels of distribution. Air fresheners do include spray disinfectants and other products that are expressly represented for use as air fresheners, except institutional and industrial disinfectants when offered for sale through institutional and industrial channels of distribution. To determine whether a product is an air freshener, all verbal and visual representations regarding product use on the label or packaging and in the product's literature and advertising may be considered. The presence of, and representations about, a product's fragrance and ability to deodorize (resulting from surface application) shall not constitute a claim of air freshening.

  • South Caucasus/Central and South Asian (SC/CASA) state means Armenia, Azerbaijan, Georgia, Kazakhstan, Kyrgyzstan, Pakistan, Tajikistan, Turkmenistan, or Uzbekistan.

  • Quadriplegia means total Paralysis of both upper and lower limbs. “Hemiplegia” means total Paralysis of the upper and lower limbs on one side of the body. “Uniplegia” means total Paralysis of one lower limb or one upper limb. “Paraplegia” means total Paralysis of both lower limbs or both upper limbs. “Paralysis” means total loss of use. A Doctor must determine the loss of use to be complete and not reversible at the time the claim is submitted.

  • Singapore means the Republic of Singapore and, when used in a geographical sense, includes its land territory, internal waters and territorial sea, as well as any maritime area situated beyond the territorial sea which has been or might in the future be designated under its national law, in accordance with international law, as an area within which Singapore may exercise sovereign rights or jurisdiction with regards to the sea, the sea-bed, the subsoil and the natural resources;

  • South Caucasus/Central and South Asian (SC/CASA) state means Armenia, Azerbaijan, Georgia, Kazakhstan, Kyrgyzstan, Pakistan, Tajikistan, Turkmenistan, or Uzbekistan.

  • Mauritius means the Republic of Mauritius and includes: (i) all the territories and islands which, in accordance with the laws of Mauritius, constitute the State of Mauritius; (ii) the territorial sea of Mauritius; and (iii) any area outside the territorial sea of Mauritius which in accordance with international law has been or may hereafter be designated, under the laws of Mauritius, as an area, including the Continental Shelf, within which the rights of Mauritius with respect to the sea, the sea-bed and sub-soil and their natural resources may be exercised;

  • Hong Kong Dollar means the lawful currency of Hong Kong.

  • Hong Kong Dollars or “HK$” means the lawful currency of Hong Kong.

  • USFWS means the United States Fish and Wildlife Service.
