EDI Employees definition

EDI Employees means the employees of Everest or any of its subsidiaries who shall receive the EDI Employee Transaction Bonus Shares as determined by the Shareholders’ Representative.

  • Immediately prior to the occurrence of any Liquidity Event, Parent shall issue to the EDI Employees the EDI Employee Transaction Bonus Shares, in the amounts for each EDI Employee as determined by the Shareholders’ Representative in its sole discretion.

  • Parent shall have issued to the EDI Employees the EDI Employee Transaction Bonus Shares pursuant to Section 2.3.

  • As to the EDI Employees as defined in SCHEDULE 12.16-A and identified in SCHEDULE 12.16-B, Seller shall not do, or agree to do, any of the following acts relating to its EDI business: (i) grant any increase in salaries payable or to become payable to any officer, employee, sales agent or representative, or consultant; or (ii) increase benefits payable to any officer, employee, sales agent, representative or consultant under any bonus or pension plan or other contract or commitment.

  • After the Closing Date and for a period through April 30, 1999 (the "Transition Period"), Seller agrees, as more fully set forth in the EDI Employee Services Agreement attached hereto as Schedule 12.16-A, to lease to Buyer all of Seller's employees who were directly involved in the EDI business up to the Closing Date(the "EDI Employees") and to provide the same or similar office space and services as provided to the EDI Employees on the date of this Agreement.

  • Buyer shall reimburse Seller for operating expenses associated with the EDI Employees as set forth in Schedule 12.16-B, except for separation stay pay bonuses which will be paid directly by ProxyMed.

Related to EDI Employees

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Hired Employees shall have the meaning set forth in Section 7.5(a).

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Designated Employees means a person occupying any of the following position in the Company:

  • Key Employees means Xxxxx Xxxxxxx and Xxxxxxx Xxxxxxx.

  • Excluded Employees has the meaning set forth in Section 14.1.

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Current Employees has the meaning set forth in Section 5.6(a).

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.

  • Casual Employees are employed on an "on call" basis to cover absences due to sick leave, vacation, or other approved leaves, or to augment staff during peak periods or periods of staff shortage.

  • Continuing Employee has the meaning set forth in Section 6.7(a).

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Relevant Employees means the employees who may be affected by a change referred to in subclause (1).

  • Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Hired Employee has the meaning set forth in Section 6.1.6.

  • Servicer Employees As defined in Section 2.12.
