To the extent that any Offeree Member elects not to exercise the Offeree Member's option to purchase, the remaining Offeree Member(s) may elect to do so ("Electing Offeree Member(s)") and shall notify the Transferor Member writing as provided in this paragraph.
Thereafter, any unallocated Subject Shares specified in the First Refusal Notice will be further allocated in a similar manner as may be necessary until all of the Subject Shares have been allocated; provided, that in any event, no Electing Offeree will be allocated more than the maximum number of Subject Shares that such Electing Offeree specified in its Election Notice.
