Examples of Electing Offeree in a sentence

  • If the necessary governmental approvals to an Electing Offeree’s purchase of any Offered Shares are not obtained within a reasonable period of time after the end of the 60-day period following the Cut-Off Date or the Extended Cut-Off Date, as the case may be, such Offered Shares must be re-offered to the Non-Offering Members (other than the Electing Offeree) as Offered Shares under this Article 10(b).

  • Each Acceptance Notice shall include a statement of (i) the number of Shares held by such Electing Offeree as of the date of the Acceptance Notice, (ii) the number of Transferred Shares that such Electing Offeree elects to purchase, and (iii) where applicable, the maximum number of Excess Transferred Shares that such Offeree elects to purchase.

  • Offeree means an individual to whom the Committee has offered the right to acquire Shares under the Plan (other than upon exercise of an Option).

  • Electing Holder means any holder of Registrable Securities that has returned a completed and signed Notice and Questionnaire to the Company in accordance with Section 3(d)(ii) or 3(d)(iii) hereof.

  • Qualifying Offer shall have the meaning set forth in Section 11(a)(ii) hereof.

  • Shelf Offering Notice has the meaning set forth in Section 2(d)(ii).

  • Tender Notice means the Tender Notice set out in Part 1 of this TenderDocument;
