Election Payment definition

Election Payment. As defined in SECTION 4.3.1 for Segment A.
Election Payment means the fair market value amount to be paid by a holder of Class E Inactivated Units to activate all or a portion of such Units and commence receiving distributions out of Distributable Cash in respect of such activated Units, as provided in the LP Agreement.
Election Payment has the meaning set forth in Section 1(e)(iii).

Examples of Election Payment in a sentence

  • If Merck pays the Participation Election Payment for a given Program, Moderna shall assign and transfer ownership of all relevant INDs or CTAs and Regulatory Filings (other than DMFs) then held by Moderna (or any of its Affiliates) for Collaboration Products for such Program to Merck in accordance with Section 4.3(b).

  • This Option 2 Election Payment shall be made concurrent with the exercise of this option.

  • Option Payment shall have the meaning set forth in Section 3.4.

  • Compensation Payment means a payment, whether in monetary form or in the form of a benefit or service, by or on behalf of an insurer to a complainant to compensate the complainant for a proven or estimated financial loss incurred as a result of the insurer’s contravention, non-compliance, action, failure to act, or unfair treatment forming the basis of the complaint, where the insurer accepts liability for having caused the loss concerned, but excludes any –

  • Termination Payment means the amount payable by either Party to the other upon Termination in accordance with Article 23;

  • Cash Election Amount means the product of the number of Cash Election Shares multiplied by the Cash Election Consideration.

  • Separation Payment means any lump sum cash payment in excess of Earned Salary and Accrued Obligations payable to Employee under this Agreement.
