  • Bidder hereby waives and disclaims any legal or equitable defense to any claim made by or on behalf of ELL or any ELL Representative in connection with this Agreement or the RFP based on or otherwise arising out of ELL or any ELL Representative not being a signatory to this Agreement.

  • Qualified representative means a person who holds a position with a business organization, who is authorized to act on behalf of the business organization, and who is one of the following:
