Encumbrances to be Discharged means any Encumbrances, other than Permitted Encumbrances, registered against any Subject Assets or entered into or consented to by the Vendor after the date hereof;
Encumbrances to be Discharged means all Encumbrances on the Retained Assets, including without limitation the Encumbrances listed in Schedule “H”, an amended list of which may be delivered by the Purchaser no later than before the Closing Date and excluding only the Permitted Encumbrances;
Encumbrances to be Discharged means those Encumbrances listed in Schedule F hereto.

More Definitions of Encumbrances to be Discharged

Encumbrances to be Discharged or “Excluded Encumbrances” means all Encumbrances on the Retained Assets and the Transferred Assets, including the Encumbrances listed in Schedule “E”.
Encumbrances to be Discharged means: (i) those Encumbrances against title to the Lands which are listed in Schedule D; and (ii) any other Encumbrances, other than Permitted Encumbrances, registered against the Lands or entered into or consented to by Smart or the Smart Nominees after the Cut-Off Time.

  • New discharger means any building, structure, facility, or installation: (A) From which there is or may be a new or additional discharge of pollutants at a site at which on October 18, 1972, it had never discharged pollutants; (B) Which has never received a finally effective NPDES permit for discharges at that site; and (C) Which is not a “new source”. This definition includes an indirect discharger, which commences discharging into waters of the United States. It also includes any existing mobile point source, such as an offshore oil drilling rig, seafood processing vessel, or aggregate plant that begins discharging at a location for which it does not have an existing permit.

  • Daily discharge means the discharge of a pollutant measured during a calendar day or any 24-hour period that reasonably represents the calendar day for purposes of sampling. For pollutants with limitations expressed in units of mass, the "daily discharge" is calculated as the total mass of the pollutant discharged over the day. For pollutants with limitations expressed in other units of measurement, the "daily discharge" is calculated as the average measurement of the pollutant over the day.

  • Final Discharge Date means the date when all principal, interest and any other costs or outstanding amounts under the Senior Finance Documents have been irrevocably discharged in full and all commitments of the Secured Parties under the Senior Finance Documents have expired, been cancelled or terminated.

  • Discharge (of a pollutant) means any addition of any pollutant or combination of pollutants to waters of the United States from any point source; or any addition of any pollutant or combination of pollutants to the waters of the contiguous zone or ocean from any point source other than a vessel or other floating craft which is being used as a means of transportation.

  • Existing source or existing discharger (in the NPDES program) means any source which is not a new source or new discharger.
