Upon Our request and no more than 4 times per year, You shall provide Us, for each channel through which Your App is distributed (including Public App Stores, Enterprise App Stores, mobile device management solutions and similar systems), within 15 working days of Our request an original report, listing by country the number of copies of Your App (i) distributed, (ii) updated and (iii) sold, covering at least the 24 (twenty four) month period prior to such request.
Even if such direct assignment occurs for administrative convenience, the Parties acknowledge and agree that the Inpixon Group shall have legally contributed the Enterprise App Assets to Spinco, followed by the drop down of the Enterprise App Assets by Spinco to Design Reactor, and agree to consistently report the steps pursuant to the description immediately above.
Notwithstanding the foregoing, purely as a matter of administrative convenience, Spinco may direct the Inpixon Group to transfer, contribute, assign and convey certain Enterprise App Assets directly to Design Reactor or another subsidiary of Spinco (through formal assignments of the right to receive such Enterprise App Assets).
In case Licensee wishes to distribute Finished Apps in multiple (Enterprise) App Stores, under different brands or otherwise, one License per distribution channel and/or brand is needed, even if Licensee uses the same App-ID.
In addition to the general restrictions on use as set forth in Section 4.2 (General Restrictions on Use of the Services) of the Agreement, when using the Hearsay Enterprise App, Customer, including its Users, shall not engage in any of the following prohibited activity as required by the External Services.
If purchased, the product descriptions for Hearsay Enterprise will be stated in the applicable Order Form as Hearsay Social Enterprise App or Hearsay Relate Enterprise App, whichever is purchased by the Customer.
