No Member who has resigned or withdrawn from the Company will be required to contribute additional funds to the Environmental Compliance Fund unless and until all contribution made to said Environmental Compliance Fund prior to such withdrawal or resignation have been spent or committed to be spent.
The Management Committee may establish, in addition to the Environmental Compliance Fund, one or more cash reserves as the Management Committee determines from time to time, and may apply such reserves for Operations as may be Approved by the Management Committee, provided that cash reserves will be limited only to those reserves and to such amounts as are necessary to support Operations or to satisfy the Company’s third party lender requirements, including pursuant to approved Project Financing.
Should the cumulative cost of satisfying any Continuing Obligation be in excess of cumulative amounts accrued or otherwise charged to the Environmental Compliance Fund provided for in Paragraph 2.14 of Exhibit B and should any Member be found liable therefore, the Members shall make capital contributions to the Company (or if the Company has been terminated, make payment directly to the Member found liable), in proportion to their respective Ownership Interests, to fund any such Continuing Obligations.
Funds deposited into the Environmental Compliance Fund will be maintained by the Manager in a separate, interest bearing cash management account, which may include money market investments and money market funds, or longer-term investments approved by the Management Committee.
This fund, hereinafter called, Environmental Compliance Fund, which through successive proportionate contributions of the Partners during the duration of the agreement, will be sufficient to cover ongoing Environmental Compliance conducted during Operations and which will cover the reasonably anticipated costs of mine closure, post-Operations Environmental Compliance and other Continuing Obligations.
