Equipment Purchase Price definition

Equipment Purchase Price means, with respect to any item of Approved Equipment, the invoice price paid for such item of Approved Equipment, net of any applicable sales tax, shipping, delivery, inspection, installation, transportation, freight, and any other so-called “soft” costs.

Equipment Purchase Price means the purchase price of the charging mechanism only. The following are not considered to be part of the equipment purchase price for the purposes of this rebate: Site Acquisition; electrical panels and switchgear; engineering, design, and permitting; utility upgrades; project management; construction; and data service plan costs.

Equipment Purchase Price shall be the purchase price of any Eligible Equipment as set forth in the xxxx of sale, invoice or other instrument evidencing the purchase of such Equipment by Borrowers, net of all taxes, transportation, installation, delivery and other soft costs of such purchase.

• Notwithstanding the provisions of Sections 1.6 and 1.7 above or any other provision of this Agreement, full payment by Nano to Zygo for the Purchased Inventory Purchase Price and Demo Equipment Purchase Price shall be completed (paid in full) no later than ten (10) business days after the first anniversary of the Closing.

Equipment Purchase Price has the meaning given in Clause 3.1;
