Equivalent Common Stock means any class or series of capital stock of the Company, if any, other than the Common Stock, which is entitled to participate on a proportional basis with the Common Stock in dividends and other distributions, including distributions upon the liquidation, dissolution or winding up of the Company. In calculating the number of shares any class or series of Equivalent Common Stock for purposes of Section 13 of this Agreement, the number of shares or fractions of Equivalent Common Stock that are entitled to the same dividend or distribution as a whole share of Common Stock shall be deemed to be one share.
