ERISA Entity definition

ERISA Entity means any member of an ERISA Group.
ERISA Entity will mean (A) an “employee benefit plan” within the meaning of Section 3(3) of ERISA subject to Title I of ERISA, (B) a “plan” within the meaning of Section 4975(e)(1) of the Code and (C) any person whose assets are deemed to be “plan assets” within the meaning of ERISA Section 3(42) and 29 C.F.R. § 2510.3-101 or otherwise under ERISA.
ERISA Entity has the meaning set forth in Section 3.2(j).

  • Each ERISA Entity is in compliance in all material respects with the presently applicable provisions of ERISA and the Code with respect to each Employee Benefit Plan.

  • Using actuarial assumptions and computation methods consistent with subpart 1 of subtitle E of Title IV of ERISA, the aggregate liabilities of each ERISA Entity to all Multiemployer Plans in the event of a complete withdrawal therefrom, as of the close of the most recent fiscal year of each such Multiemployer Plan, would not reasonably be expected to result in a Material Adverse Effect.

More Definitions of ERISA Entity

ERISA Entity means either an "employee benefit plan" as defined in Section 3(3) of the Employee Retirement Income Security Act of 1974, as amended, (whether or not subject to the Employment Retirement Income Security Act of 1974, as amended), a "plan" as defined in Section 4975 of the Internal Revenue Code of 1986, as amended, an entity deemed to hold plan assets of any such employee benefit plan or plans, or an entity otherwise using the assets of any such employee benefit plan or plans to acquire VFC Certificates.
ERISA Entity means (i) an employee benefit plan, retirement arrangement, individual retirement account or Keogx xxxject to either Title I of ERISA or Section 4975 of the Code, or (ii) an entity whose source of funds to be used for the purchase of a Class B Certificate includes the assets of any such plan, arrangement or account.
ERISA Entity means Borrower, any of its Restricted Subsidiaries, and any other trade or business under common control with Borrower and/or any of its Restricted Subsidiaries within the meaning of Section 414(b) or (c) of the Code.
