The Escrow Account shall be administered in accordance with the terms and provisions of the Escrow Agreement for a term that shall expire at the open of business on December 31, 2005 or such later date provided in the Escrow Agreement in the event of a claim outstanding against the Escrow Account as of the open of business on December 31, 2005 (such later date, the "Escrow Fund Release Date").
The definition of Escrow Fund Release Date shall be three (3) business days after the date of this Amendment as set forth hereinabove.
