Estate Planning Entity definition

Estate Planning Entity means, with respect to any Person, (i) any trust, the beneficiaries of which are primarily such individual or any member of his or her Immediate Family or (ii) any corporation, partnership, limited liability company or other entity that is primarily owned and controlled, directly or indirectly, by such individual, any member of such individual’s Immediate Family or any of the Persons described in clause (i).
Estate Planning Entity means with respect to any VGP Owner or any member of the Immediate Family of such VGP Owner, (i) any trust, the beneficiaries of which are primarily such VGP Owner or any member of his or her Immediate Family or (ii) any entity that is primarily owned or controlled, directly or indirectly, by a VGP Owner or member of his or her Immediate Family and/or any of the Persons described in clause (i).
Estate Planning Entity means any custodian or trustee of any trust, partnership or limited liability company for the sole benefit of, or the ownership interests of which are owned wholly by, a Stockholder who is a natural person or any such Stockholder’s Family Members;

Examples of Estate Planning Entity in a sentence

  • A Subject Property Owner who is not a Qualified Owner, and who acquires title to the Subject Property as the result of the death of the deceased Subject Property Owner, whether though joint tenancy, a will, the intestacy provisions of the Colorado probate code or other applicable law, or the provisions of an Estate Planning Entity.

  • The Subject Property Owner must receive approval from the Administrator prior to entering into or executing any transaction that conveys title to an interest in the Subject Property, including but not limited to transfer of title to an Estate Planning Entity.

More Definitions of Estate Planning Entity

Estate Planning Entity means with respect to any individual that is a direct or indirect beneficial owner of VGP (a “VGP Owner”) or any member of the Immediate Family of such VGP Owner, (i) any trust, the beneficiaries of which are primarily such VGP Owner or any member of his or her Immediate Family or (ii) any entity that is primarily owned or controlled, directly or indirectly, by a VGP Owner or member of his or her Immediate Family and/or any of the Persons described in clause (i).
Estate Planning Entity with respect to any individual Holder shall mean any intervivos trust, limited partnership, corporation or limited liability company that, at the time of the Disposition of Shares to such intervivos trust, limited partnership, corporation or limited liability company, is entirely owned beneficially and of record by: (i) such individual Holder, and/or (ii) such individual Holder’s Other Permitted Transferees; and/or (iii) any one (1) or more intervivos trusts, limited partnerships, corporations or limited liability companies that is or are entirely owned beneficially and of record by such individual Holder and/or any of such individual Holder’s Other Permitted Transferees, or (iv) any one (1) or more Persons or entities named in clauses (i), (ii) or (iii) above.
Estate Planning Entity means, with respect to a Member, any trust or other entity created during an individual’s life that is controlled by or for the benefit of such Member or a member of such Member’s family or charity, in each case established for estate planning purposes, such as a living trust, limited partnership or limited liability company.
Estate Planning Entity of a Person means (a) such Person’s or its beneficial owner’s immediate family members including grandparents and lineal descendants of grandparents, (b) any trust, partnership, corporation, limited liability company or other entity established for the benefit of any Person described in clause (a) and (c) any charitable or foundation or nonprofit organization controlled by any Person described in clauses (a) or (b).

Estate Planning Entity means, with respect to any partner or professional associated with or formerly associated with any of the Businesses, (i) any trust, the beneficiaries of which are primarily such partner or professional or any member of his or her Immediate Family, (ii) any Charitable Organization or (iii) any corporation, partnership, limited liability company or other entity that is primarily owned and controlled, directly or indirectly, by such partner or professional, any member of such partner’s or professional’s Immediate Family and/or any of the Persons described in clause (i).
Estate Planning Entity with respect to any individual Holder shall mean any inter vivos trust, limited partnership, corporation or limited liability company that, at the time of the Disposition of Stock to such inter vivos trust, limited partnership, corporation or limited liability company, is entirely owned beneficially and of record by: (i) such individual Holder, and/or (ii) any one or more inter vivos trusts, limited partnerships, corporations or limited liability companies that is or are entirely owned beneficially and of record by such individual Holder, or (iv) any one or more persons or entities named in clauses (i) or (ii) above.
