Estimated Closing Balance Sheet Date definition

Estimated Closing Balance Sheet Date means the last day of the second (2nd) month immediately preceding the month in which the Closing Date occurs.
Estimated Closing Balance Sheet Date means the last day of the month immediately preceding the month in which the Closing Date is expected to occur; provided that the Estimated Closing Balance Sheet Date shall be the last day of the second (2nd) month immediately preceding the month in which the Closing Date is expected to occur if the Closing Date is expected to occur within five (5) days of the end of the immediately preceding month.
