Excluded Customer means any Customer:

More Definitions of Excluded Customer

Excluded Customer means any Affiliate of Company and any Entity that (a) does not operate within the Market; (b) is located outside of the Territory; (c) is under a private label arrangement with Company; and/or (d) is expressly listed in the Commercial Terms, if applicable.

Excluded Customer means any consumer customer who did not purchase a Professional Product from Seller’s Professional Division or its Consumer Direct Division prior to the Closing Date, as determined in accordance with the methodology set forth in Schedule 2.01(a); and

Excluded Customer means any customer that is (a) a private equity or other fund sponsor and its individual funds and portfolio companies or (b) a Japanese Corporate Customer, in each case that is identified on the list of Excluded Customers to be delivered by Sellers to Purchaser pursuant to S ection 5.7(b).
