European Guarantor definition

European Guarantor means each of Allweiler Group GmbH, IMO AB, each German Loan Party and each Swedish Loan Party.
European Guarantor means Xxxxx Xxxxxxxx Europe B.V.
European Guarantor means each European Borrower and each Person that is a party to this Agreement as a European Guarantor, or that becomes a party to this Agreement as a European Guarantor pursuant to a European Guarantor Joinder Agreement pursuant to Section 5.14(a) and/or (d).

Examples of European Guarantor in a sentence

  • Notwithstanding anything to the contrary set forth in this Agreement, in no event shall the European Borrower or any European Guarantor be obligated to pay any principal, interest or other Obligations relating to the Term A Facility, any Borrowing made by the US Borrower or (unless requested by the European Borrower) any Letters of Credit issued for the account of the US Borrower or any of its US Subsidiaries.

  • Within 90 days (or such later date as the Agent may agree in its reasonable discretion) of the date of the opening of the Cash Pooling Arrangement, the Agent shall have received, solely with respect to the German Secured Obligations, the executed intercompany note by Milacron B.V. and each German Borrower and each Post-Amendment Effective Date European Guarantor party to the Cash Pooling Arrangement as of the date of the opening of the Cash Pooling Arrangement.

  • The Participant can also recourse to the Guarantor of personal data protection, accordingly to how the personal data is treated by the Institute of enrolment and/or the National Agency; he/she can also recourse to the European Guarantor of personal data protection, in accordance to how data is used by the European Commission.

  • Each European Guarantor waives diligence, presentment, protest, demand for payment and notice of default or nonpayment to or upon any Loan Party or any of the European Guarantors with respect to the Secured Obligations of each Foreign Subsidiary that is a CFC.

  • No waiver of any provision of this European Guarantee or consent to any departure by any European Guarantor therefrom shall in any event be effective unless the same shall be permitted by paragraph (a) of this Section 19, and then such waiver or consent shall be effective only in the specific instance and for the purpose for which given.

  • All communications and notices hereunder to any European Guarantor shall be given to it in care of Holdings as provided in Section 9.01 of the Credit Agreement.

  • No notice or demand on any European Guarantor in any case shall entitle any European Guarantor to any other or further notice or demand in similar or other circumstances.

  • Canadian Guarantor means each Guarantor that is incorporated or otherwise organized under the laws of Canada or any province or territory thereof.

  • Canadian Guarantors means (i) each Canadian Borrower in its capacity as a guarantor under the Canadian Borrowers/Subsidiaries Guarantee and (ii) each other Canadian Subsidiary of Silgan.

  • German Guarantor means a Guarantor incorporated under the laws of Germany as a GmbH.

  • U.S. Guarantor means a Guarantor whose jurisdiction of organisation is a state of the United States or the District of Columbia.

  • Foreign Guarantor means Parent and each Guarantor that is a Foreign Subsidiary.

  • Loan Guarantor means each Loan Party.

  • Canadian Guarantee means the Canadian Guarantee Agreement, made by each of the Canadian Guarantors in favor of the Canadian Administrative Agent for the benefit of the Lenders to the Canadian Borrower, substantially in the form of Exhibit A-1, as the same may be amended, supplemented or otherwise modified from time to time.

  • Foreign Guarantors means and includes each Foreign Borrower and each Foreign Subsidiary Guarantor.
